1. Purpose of the Website

The Website is provided primarily to provide information about OffSite’s products, services, technologies, resources, and company.

Information presented on the Website is for general informational purposes only and is not intended to constitute a contract, medical advice, legal advice, financial advice, or a guarantee regarding the availability, performance, security, uptime, functionality, or suitability of any OffSite product or service.

Descriptions of products and services on the Website may change without notice.

2. Separate Customer Agreements

These Terms apply to your use of the Website only.

If you are an OffSite customer and have entered into a separate written agreement with OffSite, including a Master Services Agreement, Service Agreement, Order Form, Statement of Work, Service Level Agreement, Business Associate Agreement (“BAA”), Data Processing Agreement, or other written agreement, that agreement will govern the applicable products and services provided to you.

In the event of a conflict between these Terms and a separate written agreement between you and OffSite concerning OffSite’s products or services, the separate written agreement will control with respect to those products or services.

Nothing in these Terms modifies, replaces, or supersedes any existing customer agreement.

3. Eligibility and Acceptable Use

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

Use the Website for any unlawful, fraudulent, or unauthorized purpose;
Attempt to gain unauthorized access to the Website, servers, networks, accounts, or systems connected to the Website;
Interfere with or disrupt the operation or security of the Website;
Introduce viruses, malware, malicious code, or other harmful material;
Attempt to probe, scan, test, or circumvent the security or authentication mechanisms of the Website;
Use automated systems, bots, spiders, crawlers, scrapers, or similar technologies to access or collect information from the Website without OffSite’s prior written authorization;
Copy, reproduce, modify, distribute, republish, sell, or commercially exploit Website content without OffSite’s prior written permission;
Impersonate another person or entity;
Use information obtained through the Website to violate another person’s rights, including privacy or intellectual property rights; or
Use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with another user’s access to it.

4. Healthcare and Patient Information

OffSite provides healthcare technology and image-management services, including PACS, DICOM, cloud, archiving, routing, and related services.

The public Website is not intended for the submission, transmission, storage, or exchange of Protected Health Information (“PHI”) or other sensitive patient information.

You should not submit patient names, medical record numbers, dates of birth, clinical information, diagnostic images, or other PHI through public Website forms, email links, or other Website features unless specifically authorized by OffSite and subject to an applicable written agreement and appropriate security safeguards.

If you are an OffSite customer and need to transmit PHI or other confidential information to OffSite, you should use the secure transmission methods and systems designated by OffSite.

Nothing in these Terms is intended to create a Business Associate relationship or constitute a Business Associate Agreement. Any HIPAA obligations applicable to OffSite’s provision of services will be governed by the applicable written agreements between OffSite and its customer.

5. No Medical Advice

The information provided on the Website is not medical advice and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

OffSite is a healthcare technology and image-management services provider. OffSite does not provide medical diagnosis or treatment through the Website.

Healthcare providers and other qualified professionals are solely responsible for clinical decisions and patient care.

6. Intellectual Property

Unless otherwise indicated, the Website and all content contained on or made available through the Website, including text, graphics, photographs, images, logos, trademarks, service marks, designs, software, documents, videos, and other materials (collectively, “Content”), are owned by or licensed to OffSite and are protected by applicable intellectual property laws.

OffSite grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website and view its Content solely for legitimate informational or business purposes.

Except as expressly permitted by OffSite in writing or by applicable law, you may not reproduce, modify, distribute, publish, sell, sublicense, commercially exploit, or remove proprietary notices from Website Content, use OffSite trademarks without permission, or use Website Content to develop or train a competing product or service.

All rights not expressly granted under these Terms are reserved by OffSite.

7. Trademarks

“OffSite Image Management,” “OffSite,” and related names, logos, product names, service names, and designs may constitute trademarks or service marks of OffSite or its licensors.

You may not use OffSite trademarks or logos without OffSite’s prior written authorization.

Third-Party trademarks appearing on the Website remain the property of their respective owners. Their appearance does not necessarily constitute an endorsement or affiliation.

8. User Submissions

The Website may allow users to submit information through contact forms, quote requests, consultation requests, support requests, employment inquiries, or other features (“Submissions”).

You represent that information you submit is accurate and that you have the right to provide it.

You agree not to submit confidential information, trade secrets, PHI, or other sensitive information through Website forms unless OffSite has specifically instructed you to do so through an approved secure method.

By submitting information through the Website, you authorize OffSite to use that information as reasonably necessary to respond to your request, provide requested information or services, communicate with you, and otherwise process the information in accordance with OffSite’s Privacy Policy and applicable law.

9. Privacy

Your use of the Website may involve the collection and processing of personal information.

Please review OffSite’s Privacy Policy for information regarding how OffSite collects, uses, protects, and discloses information obtained through the Website.

The Privacy Policy is incorporated into these Terms by reference to the extent applicable.

10. Third-party Websites and Services

The Website may contain links to websites, applications, products, or services operated by third parties.

These links are provided for convenience only. OffSite does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites or services.

Your use of third-party websites or services is subject to the terms and policies of the applicable third party.

The inclusion of a third-party link does not constitute an endorsement, sponsorship, or recommendation by OffSite unless expressly stated otherwise.

11. Website Availability

OffSite makes reasonable efforts to maintain the availability and functionality of the Website. However, OffSite does not guarantee that the Website will always be available, uninterrupted, error-free, secure, or free of viruses or other harmful components.

OffSite may modify, suspend, restrict, or discontinue all or any portion of the Website at any time without notice.

Any uptime, availability, backup, redundancy, security, support, or service-level commitments applicable to OffSite’s customer services are governed solely by the applicable customer agreement and not by these Terms.

12. Information Accuracy

OffSite attempts to provide accurate and current information on the Website. However, OffSite does not warrant that Website Content is complete, accurate, current, or error-free.

Product descriptions, technical specifications, features, pricing, service descriptions, availability, and other information may be changed or updated without notice.

Nothing on the Website constitutes an offer or commitment to provide a particular product or service unless expressly stated in a written agreement signed by OffSite.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

OFFSITE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

OFFSITE DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFSITE IMAGE MANAGEMENT INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFSITE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OFFSITE, IF ANY, FOR ACCESS TO THE WEBSITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

The limitations in this section apply only to your use of the Website and do not modify liability provisions contained in a separate written agreement between OffSite and a customer.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless OffSite Image Management Inc. and its officers, directors, employees, agents, affiliates, contractors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (1) your violation of these Terms; (2) your misuse of the Website; (3) your violation of applicable law or regulation; or (4) your infringement or misappropriation of another person’s intellectual property, privacy, or other rights.

This provision does not apply to the extent that the claim results from OffSite’s own gross negligence, willful misconduct, or other liability that cannot lawfully be excluded.

16. Security

OffSite takes reasonable measures designed to protect the security and integrity of its Website and systems.

However, no Internet transmission, electronic storage system, or website can be guaranteed to be completely secure.

You are responsible for maintaining the security of any credentials or information you use to access password-protected areas associated with the Website.

You must immediately notify OffSite if you become aware of unauthorized access to your account or credentials.

17. Password-Protected Areas

Certain areas, portals, or services accessible through or associated with the Website may require authentication.

Access to restricted areas is limited to authorized users.

You may not share your credentials with unauthorized individuals or attempt to access another person’s account.

OffSite reserves the right to suspend or terminate access to restricted areas if it reasonably believes that unauthorized access, misuse, or a violation of these Terms has occurred.

18. Modifications to These Terms

OffSite may update or modify these Terms from time to time.

When changes are made, OffSite may update the “Last Updated” date at the top of these Terms.

Your continued use of the Website following the posting of revised Terms constitutes acceptance of the revised Terms.

If a material change requires additional notice under applicable law, OffSite will provide such notice through an appropriate method.

19. Termination or Restriction of Access

OffSite may suspend or terminate your access to the Website, or restrict access to any portion of the Website, if OffSite reasonably believes that you have violated these Terms, applicable law, or the security or integrity of the Website.

Termination or restriction of access does not affect provisions that by their nature should survive termination, including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict-of-law principles.

Any legal action arising out of or relating to these Terms or your use of the Website shall be brought in a court of competent jurisdiction located in Buchanan County, Missouri, unless applicable law requires otherwise.

21. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

22. No Waiver

OffSite’s failure to enforce any provision of these Terms does not constitute a waiver of OffSite’s right to enforce that provision or any other provision in the future.

23. Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the agreement between you and OffSite concerning your use of the Website.

These Terms do not replace, modify, or supersede any separate written agreement governing OffSite’s products or services.
